Terms & Conditions – Electrical Emergency UK Ltd

Scope
These terms and conditions apply to all installation, repair, and service work carried out by Electrical Emergency UK Ltd (“we”, “us”, “our”), unless otherwise agreed in writing.

Definitions
  • Services: Engineering and related work performed on your equipment as outlined in our quotation or agreed documents.
  • Customer’s Equipment: Equipment or materials you own or for which you request our services.
  • You/Your: The individual or company receiving our services.
Applicability
  • All contracts and agreements are subject to these terms. Any additional or conflicting terms you propose do not apply.
  • Standard trade practices or prior dealings are excluded unless explicitly included.
  • Changes to these conditions require written agreement.
Quotations and Pricing
  • Quotations indicate potential costs but are not binding until confirmed by us.
  • If work is found to be impractical, we will notify you and propose alternatives.
  • General repair instructions allow us to determine necessary repairs and associated charges.
  • Prices are fixed for orders placed within 60 days of the quotation, unless stated otherwise.
  • You are responsible for additional costs caused by delays, overtime, or changes requested.
Work on Site
  • Safe and unrestricted access to your equipment is required.
  • You must comply with all Health and Safety regulations and ensure a safe working environment.
  • You are responsible for any legal costs arising from unsafe conditions.
Payment
  • Invoices are issued on completion of services and are payable within 7 days unless otherwise agreed.
  • All payments are in GBP.
Designs, Drawings, and Specifications
  • You are responsible for the accuracy of any data, drawings, or designs provided.
  • We are not liable for third-party claims arising from services performed based on your specifications.
Warranty
  • We will take reasonable care of your equipment while in our custody. Liability for loss or damage is limited to the replacement value.
  • Services will be carried out with reasonable skill and care.
  • Defective work or materials reported within 12 months may be rectified, limited to the original invoice value.
  • You are responsible for reinstalling, testing, and notifying us of defects promptly.
Transportation
  • If we transport equipment, our liability for loss or damage is limited to replacement or insurance benefits.
  • You must inspect goods on delivery and notify us or carriers of any issues within 7 days.
  • Loading and unloading are your responsibility unless otherwise agreed.
Termination
  • We may terminate the contract if you fail to meet obligations or become insolvent.
  • You remain liable for all work completed and unpaid amounts up to the date of termination.
  • We may remove our equipment from your premises upon termination.
Liability
  • We accept liability for death or personal injury caused by our negligence.
  • For defects, liability is limited by law (e.g., Consumer Protection Act 1987).
  • Maximum liability for direct losses is limited to the total amount paid under the contract, up to £100,000.
  • We are not liable for indirect or consequential losses, including loss of profits or contracts.
  • Additional liability may be accepted subject to extra charges.
Force Majeure
  • We are not responsible for failures caused by events beyond our control, including natural events, industrial action, or third-party interference.
Disputes
  • Disputes regarding service quality will be referred to an independent expert agreed by both parties, or appointed by the President of the Institute of Electrical Engineers. The expert’s decision is binding.
VAT
  • Prices are exclusive of VAT unless stated otherwise.
Assignment and Third Parties
  • You may not transfer your rights without our written consent.
  • We may subcontract services at our discretion.
  • Third parties have no rights under this contract unless explicitly stated.
Notices
  • Notices must be in writing and may be sent via post, email, or fax.
  • Notices to us are sent to the address on our quotation, invoice, or acknowledgment.
  • Notices to you will be sent to the address provided at order.
Waiver
  • Failure to enforce any term does not waive future enforcement rights.
Entire Agreement
  • This contract represents the complete agreement and overrides any prior correspondence or representations.
Severability
  • If any provision is invalid, the remainder of the contract remains enforceable.
Governing Law
  • This agreement is governed by English law.
